Aemetis Completes Change of State of Incorporation to Delaware; Confirms 33.3 Million Shares of Common Stock Outstanding

(NASDAQ: AMTX) (“Aemetis” or the “Company”), a renewable fuels company focused on negative carbon intensity products, announced today that it has completed the reincorporation of the Company from the State of Nevada to the State of Delaware (the “Reincorporation”), including the filing of a December 1, 2021 amendment to the prospectus supplement dated August 18, 2021 (the “Amendment”) solely to reflect the Reincorporation. The change in legal domicile was approved by an affirmative vote of the requisite holders of the Company’s capital stock at the Company’s Annual Meeting of Stockholders held on August 26, 2021.

Common stock outstanding remained unchanged as a result of the Reincorporation. No additional shares of the Company’s common stock were registered for sale in connection with the Amendment. As of December 3, 2021, the Company had 33,289,689 shares of common stock outstanding.

Additionally, no changes have been made to the Board of Directors, management, business or operations of the Company as a result of the Reincorporation. The corporate headquarters will remain in Cupertino, California.
